Terms of Service

01Acceptance of Terms#

By creating an account, clicking "Agree", or otherwise accessing the Service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or your organisation, and have read, understood, and agreed to these Terms and our Privacy Policy.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" will refer to that entity.

02Account & Access#

To use Stakari you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your account credentials and not share them with third parties.
• Notify us immediately at security@nexbi.tech if you suspect any unauthorised access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that provide false or misleading information, or that are used in violation of these Terms.

03Acceptable Use#

You may use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to process, store, or transmit data that infringes the intellectual property rights of any third party.
• Attempt to gain unauthorised access to any part of the Service, including other users’ workspaces or our infrastructure.
• Introduce malware, viruses, or any other harmful or malicious code.
• Use the Service to conduct or facilitate illegal financial activity, including money laundering, fraud, or tax evasion.
• Reverse-engineer, decompile, or disassemble any component of the Service.
• Resell, sublicense, or otherwise commercialise access to the Service without our prior written consent.
• Scrape, crawl, or systematically extract data from the Service using automated means.

Violation of this section may result in immediate suspension or termination of your account without notice.

04Billing & Payments#

Some features of the Service require a paid subscription. By selecting a paid plan you agree to pay the applicable fees in advance on a recurring basis (monthly or annually, depending on your selected billing period).

• Free trial. We may offer a time-limited free trial. At the end of the trial period your account will automatically convert to the paid plan you selected unless you cancel before the trial expires.
• Price changes. We reserve the right to change subscription prices with at least 30 days' notice. Your continued use of the Service after a price change constitutes acceptance of the new price.
• Refunds. Fees are non-refundable except as required by applicable law or as expressly stated in our refund policy.
• Taxes. All fees are exclusive of taxes. You are responsible for all applicable sales, use, VAT, GST, or similar taxes.

05Intellectual Property#

The Service, including all software, algorithms, user interfaces, text, graphics, and brand elements, is owned by Stakari, Inc. and protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Service solely for your internal business purposes.

You retain full ownership of all data, text, and content you upload to the Service ("Customer Data"). You grant Stakari a limited licence to process Customer Data solely as necessary to provide the Service. We do not sell or share Customer Data with third parties for advertising purposes.

06Your Data#

You are responsible for the accuracy and legality of all Customer Data you submit through the Service. You represent and warrant that you have the right to provide us with such data and that doing so does not violate any third-party rights or applicable law.

07Disclaimers#

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the fullest extent permitted by law, Stakari disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Stakari does not provide financial, legal, tax, or accounting advice. Outputs from the Service, including anomaly alerts, spend summaries, and budget forecasts, are informational only and should not be relied upon as professional advice. You should consult a qualified professional before making financial decisions.

08Limitation of Liability#

To the maximum extent permitted by applicable law, Stakari, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising from your use of or inability to use the Service.

In no event shall our total cumulative liability to you exceed the greater of (a) the amount you paid to Stakari in the twelve months immediately preceding the event giving rise to the claim, or (b) USD $100.

09Termination#

You may terminate your account at any time from your workspace settings. Termination does not entitle you to a refund for any prepaid, unused subscription period.

We may suspend or terminate your account immediately, without notice, if we reasonably believe you have breached these Terms, if required to do so by law, or if we discontinue the Service. Upon termination we will provide a 30-day window during which you may export your Customer Data before it is deleted from our systems.

10Changes to Terms#

We may update these Terms from time to time. When we make material changes we will notify you by email or by displaying a prominent notice in the Service at least 14 days before the new Terms take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

11Governing Law#

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the state and federal courts located in Delaware.
